In a private placings,the shares will be issued to the third party for raising capital of the company.Is the third party include or exclude any publics who bought 1 or 2 shares from secondary market.so is that possible for the ordninary publics like us to bid private placing?

because normally private placing are targets to the large insitution which are independent of the company,i just want to know whether the ordinary shareholder who bought quite few shares belonging to the third party and whether they are elibile for bid the private placing . thank you!!
